This agreement describes the general terms and conditions (the "General Terms and Conditions") applicable to the use of the services offered by PASSAPP LLC or any of its subsidiary companies ("the Services") within the websites www.passapp.net and the PASSAPP App ("PASSAPP" or the "site").

Any person (hereinafter "User" or in plural "Users") who wishes to access and/or use the site or the Services may do so subject to the General Terms and Conditions, together with all other policies and principles that govern PASSAPP and that are incorporated herein by reference.

ANY PERSON WHO DOES NOT ACCEPT THESE GENERAL TERMS AND CONDITIONS, WHICH ARE MANDATORY AND BINDING, MUST REFRAIN FROM USING THE SITE AND/OR THE SERVICES.

The User must read, understand and accept all the conditions established in the General Terms and Conditions and in the Privacy Policies as well as in the other documents incorporated herein by reference, prior to their registration as a PassApp User, expressly choosing to receive them and any other information by digital means.

Users-Capacity:

The Services are only available to persons who have legal capacity to contract. Persons who do not have such capacity and/or minors may not use the services. If you are registering a User as a Company, you must have the capacity and authority to contract on behalf of that entity and to bind it to the terms of this Agreement.

Therefore, the User declares, under their responsibility, to be of legal age and to have sufficient capacity to be bound by these conditions.

Registration/onboarding:

It is mandatory to complete the registration form in all its fields with valid data in order to use the services provided by PassApp.

The User must complete it with their personal information accurately, precisely and truthfully ("Personal Data") and undertake to update the Personal Data as necessary.

The User expressly agrees that PassApp may use various means to identify and/or validate their personal data, and the User assumes the obligation to review and keep them up to date.

PassApp is NOT responsible for the accuracy of the Users' Personal Data. Users guarantee and are responsible, in any case, for the truthfulness, accuracy, validity and authenticity of their Personal Data.

At its sole discretion, PassApp may require additional registration from Users who operate as office complexes and/or residences as a requirement for such Users to access special publication packages. The User will access their personal account ("Account") by entering their Username and personally chosen security password ("Security Password"). The User agrees to maintain the confidentiality of their Security Password.

The Account is personal, unique and non-transferable, and it is prohibited for the same User to register or own more than one Account. In the event that PassApp detects different Accounts containing coinciding or related data, it may cancel, suspend or disable them.

The User will be responsible for all operations carried out in their Account, as access to it is restricted to the entry and use of their Security Password, exclusively known to the User. The User agrees to notify PassApp immediately and through appropriate and reliable means of any unauthorized use of their Account, as well as the entry by unauthorized third parties to it.

The sale, assignment or transfer of the Account under any circumstance is prohibited. In line with the principle of proactive responsibility, PassApp reserves the right to reject any registration request or to cancel a previously accepted registration, without being obliged to communicate or expose the reasons for its decision, and without generating any right to compensation or indemnification.

Likewise, the User agrees to:

1) Provide truthful information about registration data and keep it up to date;

2) Not to disseminate content contrary to the law or the dignity of the person; that is discriminatory on the grounds of birth, race, sex, religion, opinion, or any other personal or social condition or circumstance; or that, in any way, is contrary to the law and public order;

3) Any others that, in the judgment of www.passapp.net, are inappropriate for publication.

www.passapp.net reserves the right to make modifications as it deems appropriate, adding, changing, or deleting content or services provided through the website.

Prohibitions

Users may not manipulate their personal data since this type of activity and/or similar activities - at PassApp's sole discretion - will be investigated by PassApp and the infringer may be punished with the suspension or cancellation of their Account, without prejudice to any legal actions that may arise from the commission of crimes or misdemeanors, or the damages that it may cause to third parties.

PassApp may remove the publication of the User's personal data in compliance with this if it interprets - at its sole discretion - that the personal data and/or the User's behavior does not comply with these Terms and Conditions.

System or Database Violations

No action or use of any device, software, or other means that interferes with the activities and operations of PassApp, or the listings, descriptions, accounts or databases of PassApp is allowed. Any intrusion, attempt or activity in violation of or contrary to the laws on intellectual property rights and/or the prohibitions stipulated in this agreement will make the responsible party liable for legal action and the sanctions provided for in this agreement, as well as being responsible for compensating for damages caused.

Sanctions. Suspension of Operations

Without prejudice to any other measures, PassApp may warn, temporarily or permanently suspend the account of a User, initiate the actions it deems appropriate and/or suspend the provision of its Services if (a) any law or any of the provisions of the General Terms and Conditions and other policies of PassApp are breached; (b) if the User fails to comply with their commitments as a User; (c) if, in the opinion of PassApp, the User engages in fraudulent or malicious conduct or acts; (d) if the identity of the User cannot be verified or any information provided by the User is incorrect; (e) PassApp believes that the publications or other actions may cause liability for the User who published them, for PassApp, or for other Users in general.

In the event of the suspension of a User, whether temporary or permanent, all personal data they had published will be removed from the system.

To use the services offered by PassApp, Users must provide certain personal data. Your personal information is processed and stored on servers or magnetic media that maintain high standards of physical and technological security and protection.

As the party responsible for the processing of personal data, PASSAPP is obliged to keep them confidential and secure. These obligations will persist even after the User's relationship with PASSAPP has ended.

PASSAPP guarantees the User the exercise of their rights of access, rectification, limitation, deletion, cancellation, and opposition to the personal data provided. Likewise, the User is guaranteed at all times the exercise of their right to be notified by the responsible party regarding any rectification, deletion, or limitation of the processing of the data, unless it is impossible or requires a disproportionate effort, and has the right not to be subject to a decision that produces legal effects based solely on automated processing, by writing to info@passapp.net.

Use of cookies

By using cookies, both from the website and from third parties related to it, it is possible to obtain multiple details about the User's activity; for example, the location from which they access, the connection time, the operating system used, the pages visited, and other data related to the user's behavior on the internet (traffic parameters, number of entries, etc.).

System failures

PassApp is not responsible for any damage, harm, or loss to the User caused by system failures, server failures, or the internet.

PassApp will also not be responsible for any virus that could infect the User's equipment as a result of accessing, using, or examining its website or due to any transfer of data, files, images, texts, or audio contained therein.

Users may not attribute any liability or demand payment for loss of profit, due to damages resulting from technical difficulties or failures in the systems or the internet.

PassApp does not guarantee continuous or uninterrupted access and use of its site. The system may eventually be unavailable due to technical difficulties or internet failures, or for any other circumstance beyond PassApp's control; in such cases, every effort will be made to restore it as quickly as possible without any liability being attributed to PassApp. PassApp will not be liable for any errors or omissions contained on its website.

PassApp may modify the Terms and Conditions at any time by making the modified terms public on the Site. All modified terms shall come into effect 10 (ten) days after their publication. Such modifications shall be communicated by PassApp to the users who have indicated in the Configuration of their PassApp Account that they wish to receive notifications of changes to these Terms and Conditions. Any User who does not agree with the modifications made by PassApp may request the deactivation of their Account. The use of the Site and/or its services implies acceptance of these general Terms and Conditions of use of PassApp.

Jurisdiction and Applicable Law

This agreement shall be governed in all its points by the laws in force in the countries where it operates. Any dispute arising from this agreement, its existence, validity, interpretation, scope or compliance, shall be submitted to the justice of the corresponding country. PassApp's domicile is established at 255 Aragon Avenue, Floor 2, Coral Gables, FL 33134.

Identification System

Due to the difficulty of verifying the identity of Users on the Internet, PassApp cannot confirm or confirm the intended identity of each User. Therefore, PassApp has the possibility of hiring identification/validation systems for Users based on data linked to the User's activity on the Site and elsewhere. This identification/validation system may vary from time to time. For PassApp, the most important thing is to comply with current regulations and best practices in the field and proactive responsibility.
